Section 1: Introduction

Welcome to AskRocco, a suit of products including websites, AI agents, and integrations, designed to help brands and agencies manage, optimize, and execute Meta Ads campaigns. AskRocco is operated by Ajungo Holdings LLC. By using our service, you agree to comply with and be bound by the following Terms of Service. Please read them carefully before using the App.

Section 2: Definitions

App: The AskRocco application and all associated products, features, integrations, tools, APIs, and functionality accessible via Slack, any web-based interface, mobile interface, or any other surface through which AskRocco services are delivered.

Service: All products, features, and services provided by AskRocco, including daily performance briefs, natural language Q&A, RoccoGo, and RoccoCreate.

RoccoGo: The execution feature that enables AskRocco to carry out changes inside a connected Meta Ads account, including pausing ads, adjusting budgets, and reallocating spend.

RoccoCreate: The creative generation feature that produces ad copy, headlines, and image assets based on account performance data.

Credits: The unit of account used to access credit-based features within the App, including RoccoGo actions and RoccoCreate image generation.

Platform Data: Any data obtained from third-party platforms, including Meta and any other advertising or data platforms, in connection with your use of the App. Platform Data includes ad performance metrics, campaign data, audience data, account data, and any other information accessed through platform APIs under permissions you authorize.

Sector Analyses: Anonymized, aggregated, and de-identified insights, benchmarks, and conclusions derived from Platform Data across multiple accounts and industries, processed in a manner that cannot be traced back to any individual user, account, or company. Sector Analyses are distinct from Platform Data and are not subject to the same restrictions on use and sharing.

Agentic Tools: Features of the App, including RoccoGo and RoccoCreate, that use artificial intelligence to autonomously or semi-autonomously generate content, recommendations, or take actions on connected third-party platforms.

Tech Provider: AskRocco's classification under Meta's Platform Terms, meaning AskRocco accesses and processes Meta Platform Data on behalf of and at the direction of you, the client.

User / Client: Any individual or entity accessing or using the App, including brands, eCommerce businesses, and digital marketing agencies and their authorized users.

Agency User: A User who accesses the App on behalf of multiple clients or brands whose ad accounts are managed by the Agency User.

We / Us / Our: Ajungo Holdings LLC, doing business as AskRocco.

You / Your: The User of the App.

Section 3: Acceptance of Terms

By accessing or using the App, you agree to be bound by these Terms of Service, our Privacy Policy, our Data Handling Policy, and Meta's Platform Terms and Developer Policies. If you do not agree with any part of these terms, you must not use our App.

Section 4: Changes to Terms

We reserve the right to modify these Terms of Service at any time. When material changes are made, we will notify active users via email or in-app notification prior to the changes taking effect. Your continued use of the App after changes are posted constitutes your acceptance of the updated terms.

Section 5: Description of Service

AskRocco provides AI-powered insights, recommendations, creative generation, and execution tools to help users optimize their advertising campaigns directly from Slack and other supported interfaces. The Service includes, but is not limited to:

• Daily performance briefs delivered automatically to your connected workspace
• Natural language Q&A to query your ad account data in plain English
• AI-powered campaign recommendations and optimization suggestions
• RoccoGo, a credit-based execution feature for applying optimizations to your ad accounts following your explicit confirmation
• RoccoCreate, a credit-based feature for generating ad creative, copy, and images from your performance data
• Custom alert rules and performance notifications
• Sector Analyses and benchmarking insights derived from aggregated, anonymized data across the AskRocco platform
• Any additional features or services made available by AskRocco from time to time

Section 6: User Responsibilities

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

Meta and Platform Policy Compliance: You agree to use the App in compliance with all applicable laws, regulations, and the platform policies of any third-party platform connected to the App, including Meta's Platform Terms, Developer Policies, and Advertising Policies. You are responsible for ensuring your use of AskRocco does not violate any platform policy.

Accurate Information: You are responsible for ensuring that any information, context, or instructions you provide to the App are accurate and lawful, and do not violate any third-party rights or applicable law.

Authorized Access: You represent and warrant that you have the legal authority to connect any ad accounts or third-party platform accounts to the App and to authorize the actions performed through the App on those accounts.

Prohibited Uses: You agree not to use the App to process Platform Data for any prohibited purpose, including but not limited to discrimination based on protected attributes, eligibility determinations, surveillance, data selling, or any other use prohibited under Meta's Platform Terms or applicable law.

No Professional Reliance: You acknowledge that AskRocco does not provide legal, accounting, financial, medical, therapeutic, or any other professional advisory service. No output from the App constitutes professional advice of any kind. You are solely responsible for any decisions made based on App output and should consult qualified professionals as appropriate.

Agency Users: If you are an Agency User accessing the App on behalf of clients, you represent and warrant that: (a) you have full legal authority to connect your clients' ad accounts to the App; (b) you have obtained all necessary consents, permissions, and authorizations from each client whose data you access through the App; (c) your use of the App on behalf of each client complies with all applicable laws and your agreements with those clients; and (d) you will indemnify and hold harmless Ajungo Holdings LLC from any claim, loss, or liability arising from a client's assertion that you lacked authority to connect their account or share their data.

Section 7: Credits

7.1  Credit-Based Features

Certain features within the App, including RoccoGo optimizations, RoccoCreate image generation, and RoccoCreate copy sets, and AskRocco chat conversations require credits to use. 

7.2  Credit Allocation

Credits are allocated based on your subscription plan. Current credit amounts included with each plan are detailed on our pricing page at askrocco.ai.

7.3  No Credit Rollover

Unused credits do not roll over from one billing period to the next. Any credits remaining at the end of a billing period are forfeited. If you require additional credits within a billing period, you may purchase top-up credits through the App.

7.4  Credit Exhaustion

If your available credits are exhausted, credit-based features will become unavailable until you purchase additional credits or your plan renews at the start of your next billing period. 

Section 8: RoccoCreate and AI-Generated Content

8.1  Nature of AI-Generated Output

RoccoCreate generates ad creative, copy, headlines, and images using artificial intelligence based on your account performance data. All output is generated by AI and is provided as a starting point only. You are solely responsible for reviewing, evaluating, and approving all RoccoCreate output before using it in any live campaign or any other context.

8.2  No Representations on Accuracy or Business Impact

AskRocco makes no representations or warranties of any kind regarding the accuracy, completeness, fitness for purpose, or commercial effectiveness of any RoccoCreate output. AI-generated content may be wrong, incomplete, misleading, or inappropriate for your specific use case.

AskRocco makes no representation that use of RoccoCreate output will positively impact your business, improve campaign performance, generate revenue, or produce any particular result. You assume all responsibility and liability for any decision made based on RoccoCreate output.

8.3  No Representations on Intellectual Property

AskRocco makes no representation that any RoccoCreate output, including generated images, copy, headlines, or other creative assets, is original, non-infringing, or free from copyright, trademark, or other intellectual property claims. AI image and copy generation may produce output that resembles, incorporates, or is derived from third-party protected works.

It is your sole responsibility to evaluate all RoccoCreate output for potential intellectual property issues before use. You assume all responsibility and liability for any intellectual property claim arising from your use of RoccoCreate output. Ajungo Holdings LLC shall not be liable for any such claim.

8.4  Your Responsibility

You assume full responsibility for any RoccoCreate content you choose to deploy in your advertising campaigns or use in any other manner. Ajungo Holdings LLC shall not be liable for any outcome, claim, or loss arising from your use of RoccoCreate output

Section 9: Third-Party AI Models and Data Processing

AskRocco is powered in part by third-party large language models (LLMs) and infrastructure providers. By using the App, you acknowledge and agree that data you provide to the App, including queries, account context, and Platform Data necessary to generate responses, may be transmitted to and processed by these third-party providers as part of delivering the Service.

AskRocco selects third-party providers with reasonable care and enters into agreements with those providers that include data protection commitments. However, AskRocco makes no representation or warranty regarding the data security, privacy practices, or compliance posture of any third-party provider.

Any unauthorized access to, disclosure of, or loss of data that occurs at the third-party provider level is not the responsibility of Ajungo Holdings LLC. You accept this risk as a condition of using the App.

Section 10: Free Trial

AskRocco may offer a free trial period to new users at our discretion. The duration and terms of any free trial will be communicated at the time of sign-up.

At the end of a free trial, access to paid features will require an active subscription. We reserve the right to modify, extend, or discontinue free trial offers at any time.

No credit card is required to begin a free trial unless otherwise stated at the time of sign-up.

Section 11: Subscriptions and Payment

11.1  Subscription Plans

AskRocco offers multiple subscription plans with varying levels of credit allocation and features. Current plan details and pricing are available at askrocco.ai. We reserve the right to change pricing with reasonable advance notice to active subscribers.

11.2  Billing

Subscription fees are billed on a recurring monthly basis. By subscribing, you authorize us to charge your payment method on a monthly basis until you cancel your subscription.

11.3  Failed Payments

If a payment fails, we will attempt to notify you and may suspend access to paid features until payment is resolved. Continued failure to pay may result in termination of your account.

11.4  Cancellation

You may cancel your subscription at any time. Upon cancellation, your access to paid features will continue through the end of your current billing period. We do not offer refunds for any portion of a billing period already paid, whether or not the App was actively used during that period.

Section 12: Meta Platform Compliance

12.1  Meta Platform Terms

AskRocco operates as a Technology Provider through the official Meta Business API. Your use of the App is subject to Meta's Platform Terms, Developer Policies, and Advertising Policies, in addition to these Terms of Service. By using AskRocco, you agree to comply with Meta's Platform Terms as they apply to you as a client of a Tech Provider.

You agree not to use the App in any way that violates Meta's policies or that could result in the suspension or termination of your Meta Business account. AskRocco bears no responsibility for any enforcement action taken by Meta against your account.

12.2  Meta Audit and Enforcement Rights

As a Technology Provider under Meta's Platform Terms, AskRocco is subject to monitoring, review, and audit by Meta or its designated third-party auditors. Meta may also take enforcement action against AskRocco's API access, including suspension or termination of access to the Meta Business API.

In the event that Meta suspends or terminates AskRocco's API access, the Service may be interrupted or discontinued. AskRocco will use commercially reasonable efforts to notify you of any such disruption, but will not be liable for service interruptions resulting from Meta enforcement actions.

12.3  Prohibited Uses of Meta Platform Data

In addition to your general responsibilities under these Terms, you specifically agree not to use or instruct AskRocco to use Meta Platform Data for any of the following:

• Discrimination based on personal attributes including race, ethnicity, national origin, religion, age, sex, sexual orientation, gender identity, disability, or medical condition
• Making eligibility determinations for housing, employment, insurance, education, credit, or government benefits
• Surveillance of any kind
• Selling, licensing, or purchasing Platform Data
• Building or augmenting user profiles without valid user consent
• Any purpose outside of managing and optimizing your own Meta Ads campaigns through AskRocco

Section 13: Data Collection and Privacy

Your data is handled in accordance with our Privacy Policy and Data Handling Policy, both of which are incorporated into these Terms by reference and are available at askrocco.ai. We do not sell or share your personal data or ad account data with third parties without your consent, except as required by law or Meta's Platform Terms. 

Section 14: Intellectual Property

14.1  AskRocco IP

All content, trademarks, software, and data associated with AskRocco, including but not limited to the App, its features, interfaces, underlying models, and all Sector Analyses, are the property of Ajungo Holdings LLC or its licensors. You may not use, reproduce, or distribute any content from the App without our express written permission.

14.2  Your Data

Your Platform Data and any content you provide to the App remain your property. By using the App, you grant Ajungo Holdings LLC a limited license to process and analyze your data solely for the purpose of delivering the Service and generating Sector Analyses as described in Section 13.

14.3  No IP Representations on AI Output

As described in Section 9.3, AskRocco makes no representation that any AI-generated output, including from RoccoCreate, is original or free from third-party intellectual property claims. You are solely responsible for evaluating and clearing any intellectual property issues in AI-generated content before use.

Section 15: Termination

We reserve the right to suspend or terminate your access to the App at our sole discretion, with or without notice, for conduct that we believe violates these Terms of Service, Meta's Platform Terms, or is harmful to other users or any third party.

You may terminate your account at any time by canceling your subscription and discontinuing use of the App. Upon termination, your right to access the App ceases immediately at the end of your current billing period.

Section 16: Limitation of Liability

To the maximum extent permitted by applicable law, Ajungo Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, ad spend, campaign performance, data, or business opportunity, whether incurred directly or indirectly, arising from:

• Your use of or inability to use the App
• Any RoccoGo action you authorized through the App
• Any action taken in error by any Agentic Tool within the App
• Any RoccoCreate or other AI-generated output you chose to use
• Any intellectual property claim arising from your use of AI-generated content
• Any unauthorized access to or use of our servers or your account data
• Any interruption or cessation of the Service, including interruptions caused by Meta or other third-party platform enforcement actions
• Any reliance on AI-generated recommendations, insights, creative output, or other content provided by the App
• Any data processed by or lost at the level of a third-party AI provider
• Any claim by a client of an Agency User arising from the Agency User's use of the App on their behalf

Our total aggregate liability for any claims arising from your use of the App shall not exceed the total fees paid by you to AskRocco in the three months preceding the claim.

Section 17: Indemnification

You agree to indemnify, defend, and hold harmless Ajungo Holdings LLC, its affiliates, officers, directors, agents, and employees from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of or related to:

• Your use of the App
• Your violation of these Terms of Service
• Your violation of Meta's Platform Terms or any other third-party platform policy
• Any RoccoGo action you authorized
• Any RoccoCreate or AI-generated content you deployed or used
• Any intellectual property claim arising from your use of AI-generated content
• Your violation of any rights of another party
• If you are an Agency User: any claim by a client arising from your use of the App on their behalf, including any claim that you lacked authority to connect their account or share their data

Section 18: Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. AskRocco does not warrant that the App will be uninterrupted, error-free, or free of harmful components.

AskRocco does not guarantee any specific advertising results, ROAS improvement, cost reduction, lead generation, revenue increase, or other business or performance outcome from use of the App. AI-generated recommendations, insights, and creative output are provided in good faith but are not a substitute for professional advertising judgment and may be inaccurate, incomplete, or inapplicable to your situation.

You acknowledge that AskRocco is an AI-powered service and that AI systems, including Agentic Tools, can produce incorrect, incomplete, or unexpected results. You are solely responsible for verifying all App output before acting on it or using it in any live campaign or business context.

No employee, contractor, or representative of Ajungo Holdings LLC is authorized to make any warranty not expressly stated in these Terms.

Section 19: Dispute Resolution and Arbitration

19.1  Informal Resolution First

Before initiating any formal dispute, the parties agree to attempt to resolve the dispute informally. The party asserting a dispute must send written notice to the other party describing the dispute in reasonable detail. The parties will then have 30 days to attempt to resolve the dispute informally before either party may initiate arbitration.

19.2  Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms of Service, the App, or the Service, including disputes regarding the validity, enforceability, or scope of this arbitration provision, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. A single arbitrator shall be used. The arbitration shall be conducted remotely unless both parties agree otherwise. The language of arbitration shall be English.

19.3  Class Action Waiver

You and Ajungo Holdings LLC agree that each party may only bring claims against the other on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. This class action waiver is a material term of this agreement.

19.4  Exceptions

Notwithstanding Section 19.2, either party may: (a) bring an individual claim in small claims court for disputes within that court's jurisdictional limit; and (b) seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, pending final resolution by arbitration.

19.5  Costs

AAA filing fees and arbitrator fees will be allocated in accordance with AAA's Commercial Arbitration Rules. Each party shall bear its own attorneys' fees unless the arbitrator determines that a claim was frivolous or brought in bad faith, in which case the arbitrator may award fees to the prevailing party.

19.6  Opt-Out

You may opt out of this arbitration agreement by sending written notice to privacy@askrocco.ai within 30 days of first accepting these Terms of Service. Your notice must include your name, the email address associated with your account, and a clear statement that you are opting out of arbitration. If you opt out, all disputes will be resolved in the courts described in Section 21.

19.7  Severability

If any part of this Section 19 is found unenforceable, the remaining parts will continue to apply, except that if the class action waiver in Section 19.3 is found unenforceable, this entire Section 19 shall be null and void.

Section 20: Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania and, where applicable, the laws of the State of Delaware, without regard to conflict of law principles.

Subject to the arbitration provisions in Section 19, any disputes arising under these Terms that proceed to litigation shall be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania or Delaware, as applicable to the nature of the dispute and the parties involved.
